Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between Project SML Limited Company  (“the Company,” “we,” “our,” or “us”) and any individual or entity (“Customer,” “you,” or “User”) accessing or using our website, services, or purchasing our products (collectively, the “Services”).

By accessing or using the Services, you acknowledge and agree to be legally bound by these Terms. If you do not agree to these Terms, you must immediately refrain from using the Services.

1. Eligibility and Legal Capacity

1.1 You must be of the legal age of majority in your jurisdiction of residence, or have obtained the consent of a parent or legal guardian, to place an order through the Services.
1.2 By placing an order, you represent and warrant that you have full legal capacity and authority to enter into a binding agreement.
1.3 The Company reserves the right to request proof of age or guardian consent where applicable.

2. Formation of Contract

2.1 A sales contract shall be deemed concluded only when the Company issues an order confirmation by email or other written means.
2.2 The Company reserves the right, at its sole discretion, to refuse or cancel orders for reasons including but not limited to: product unavailability, pricing errors, suspected fraud, or breach of these Terms..

3. Products and Representations

3.1 Product descriptions, images, and specifications provided on the Services are for general informational purposes only. Due to the natural characteristics of tea, variations in flavor, aroma, appearance, and packaging may occur between harvests, batches, or individual products. Such variations do not constitute defects.

3.2 The Company endeavors to ensure accuracy in product information but does not guarantee that descriptions, photographs, tasting notes, or other content are precise, complete, or free from error. The subjective experience of taste and aroma may differ for each Customer and shall not be considered grounds for return, refund, or claim.

3.3 The Company disclaims all liability for differences between Customer expectations and the inherent characteristics of natural tea products.

4. Prices and Payment

4.1 Product prices are displayed in the currency selected by the Customer on the Services. The price confirmed at checkout shall constitute the final binding purchase price for that order.

4.2 Unless expressly stated otherwise, prices exclude any applicable consumption tax, value-added tax, customs duties, or import charges. Such taxes, duties, and charges shall be borne solely by the Customer in accordance with the laws and regulations of the destination country.

4.3 Payment must be completed in full at the time of purchase using the payment methods designated by the Company. The Customer agrees to bear any bank fees, credit card charges, or currency conversion costs applied by the payment provider.

4.4 Title to the products shall pass to the Customer only upon the Company’s confirmed receipt of full payment. Risk of loss or damage shall transfer in accordance with Section 5 of these Terms.

4.5 The Company reserves the right to adjust product prices, shipping fees, and other charges at any time without prior notice; however, such changes shall not affect orders already confirmed by the Customer at checkout.

5. Shipping and Delivery

5.1 Products shall be shipped to the address provided by the Customer. The Customer is solely responsible for the accuracy of delivery information.
5.2 Delivery schedules are estimates only. The Company is not liable for delays caused by customs clearance, carriers, natural disasters, or other events beyond its control.
5.3 Risk of loss or damage transfers to the Customer upon handover of the products to the designated shipping carrier.
5.4 The Company shall not be responsible for products delayed, held, or confiscated by customs authorities or shipping carriers.

6. Returns, Cancellations, and Refunds

6.1 Due to the consumable nature of tea, returns are not accepted once packaging has been opened, except as required under applicable law.

6.2 Claims regarding defective, damaged, or incorrect items must be submitted in writing within seven 7 calendar days of receipt, together with supporting evidence such as photographs.

6.3 Refunds, if granted, shall be limited strictly to the purchase price of the product concerned. Shipping costs, customs duties, taxes, and other charges are non-refundable under any circumstances.

6.4 The Company reserves the right to reject claims that are unsubstantiated, fraudulent, or inconsistent with these Terms.

7. Intellectual Property Rights

7.1 All content on the Services, including but not limited to trademarks, trade names, images, designs, text, and other intellectual property, is the exclusive property of the Company or its licensors.
7.2 Unauthorized reproduction, modification, distribution, or commercial use of such materials is strictly prohibited without prior written consent.

8. Limitation of Liability

8.1 To the fullest extent permitted by law, the Company disclaims all warranties, whether express or implied, relating to the Services and products.
8.2 The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Services or products.
8.3 The Company’s maximum liability, whether in contract, tort, or otherwise, shall not exceed the amount actually paid by the Customer for the product concerned.
8.4 The Company makes no representation or warranty regarding the health benefits, suitability, or fitness for any particular purpose of its tea products. Consumption is at the sole risk of the Customer.

9. Prohibited Conduct

The Customer shall not:

  • Use the Services for unlawful or fraudulent purposes;

  • Infringe upon the intellectual property or other rights of the Company or third parties;

  • Interfere with the operation, integrity, or security of the Services;

  • Engage in unauthorized chargebacks, fraudulent disputes, or misuse of payment systems.

10. Governing Law and Jurisdiction

10.1 These Terms shall be governed by and construed in accordance with the laws of Japan.
10.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court, Japan.

11. Amendments

11.1 The Company reserves the right to amend these Terms at any time without prior notice.
11.2 Any amendments shall become effective upon publication on the Services.
11.3 It is the Customer’s responsibility to review these Terms regularly. Continued use of the Services constitutes acceptance of any changes.

12. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain valid and enforceable.
